Summary Of Terms

This is a friendly summary of the legal agreement ("Terms of Service") you're accepting when you use the MortarStone.com service. While this summary is easier to read, the full Terms of Service below is the official legal agreement.

What You’re Agreeing To

By using our service, you agree to these rules. If you're agreeing on behalf of a company, you promise you have the authority to bind that company to these terms. We might update these terms, and if you keep using our service, you agree to the new ones.

Your Account Rules

Age: You must be at least 18 years old. Since this is a binding legal contract, we need you to be an adult to agree to it.

No Bots: Accounts must be registered by a human.

Your Info: You need to give us your real name and a valid email address.

Security: Keep your password safe. You are responsible for everything that happens under your account.

One Login, One Person: Logins are for one person. You may add as many team members as you like.

Stay Legal: Don't use the service for any illegal or unauthorized purpose.

Money Matters (Payment and Refunds)

Payment: You need a valid credit card or ACH info for paid plans.

No Refunds: We do not give refunds or credits for partially used months, upgrades/downgrades, or unused time if you cancel. This policy is strictly applied to everyone.

Taxes:If applicable, you are responsible for any taxes, levies, or duties imposed by taxing authorities.

Upgrades/Downgrades: Changes to your plan will automatically adjust your charge on the next billing cycle.

Cancelling Your Account

How to Cancel: You can cancel your account at any time through the Settings menu in the application. If you need assistance, please contact support@mortarstone.com.

Data Deletion: When you cancel, all of your data will be deleted from our production systems. While backups may exist for a short period, we cannot guarantee recovery of data once an account is cancelled.

When It Takes Effect: If you cancel before your current pay period is over, your service stops immediately, and you won't be charged again.

Service Changes and Pricing

Service Modification: We can change or stop the service (temporarily or permanently) at anytime, with or without notice.

Price Changes: We can change subscription fees, but we will give you 30 days' notice via email or in-app notification.

No Liability: We aren't liable to you or anyone else for any changes, price changes, or discontinuance of the service.

Your Stuff (Copyright and Content)

Your Ownership: We don't claim ownership over the data, content, or materials you provide. Your data remains yours.

Anonymous Stats: We may use your data to create anonymous, aggregated statistics (like benchmarks or reports). We keep this anonymous data even if you cancel your account.

Public Content: If you share your content or data with others (e.g., via email or print), you do so at your own risk, and we are not responsible for how others view or use it. You remain responsible for maintaining any intellectual property claims on that content.

Our Right to Remove: We don't pre-screen content, but we have the right to refuse or remove any content we deem unlawful, offensive, or in violation of these terms.

General Conditions and Liability

"As Is": The service is provided "as is" and "as available"—meaning we don't guarantee it will meet your specific needs, be perfectly accurate, or always be error-free or uninterrupted.

Support: Technical support is provided via email in English. Support is available for paid accounts and during the trial period.

Security: We use encrypted connections (SSL/TLS) for data transmission. While we use all commercially reasonable efforts available to us to protect it, we cannot guarantee the complete security of your content over the Internet.

Do not modify, adapt, or hack the service, or falsely imply an association with us.

Do not copy, sell, or exploit any part of the service without our written permission.

Abuse: Abuse (verbal, physical, written) of any MortarStone personnel or customer will result in immediate account termination.

Bandwidth: If your bandwidth usage is excessive, we reserve the right to throttle or disable your account until you reduce your consumption.

Limited Liability: MortarStone will not be liable for any major damages (loss of revenue, members, etc.) resulting from your inability to use the service, unauthorized access to your data, or any other issues related to the service.

Governing Law: These terms are governed by Nevada and federal law.

Working with the Law (Compliance with Law Enforcement)

We may share your account information or content if we are legally required to do so (like by a subpoena or court order). We also reserve the right to share this information if we believe it's reasonably necessary to protect our company, our users, or the public, or to enforce these Terms. We will always cooperate with legal authorities as required by law.

MortarStone Terms Of Service

By using the MortarStone.com website(“Service”), you are agreeing to be bound by the following terms and conditions(“Terms of Service”). IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TOBIND SUCH ENTITY, ITS AFFILIATES AND ALL USERS WHO ACCESS OUR SERVICES THROUGH YOUR ACCOUNT TO THESE TERMS AND CONDITIONS, IN WHICH CASE THE TERMS “YOU” OR“YOUR” SHALL REFER TO SUCH ENTITY, ITS AFFILIATES, AND USERS ASSOCIATED WITHIT. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, YOU MUST NOT ACCEPT THIS AGREEMENT AND MAY NOT USE THE SERVICES.

 MortarStone reserves the right to update and change the Terms of Service from time to time. We will notify you of significant changes via email or the Service. Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes. Violation of any of the terms below will result in the termination of your Account. While MortarStone prohibits such conduct and Content on the Service, you understand and agree that MortarStone cannot be responsible for the Content posted on the Service, and you nonetheless may be exposed to such materials. You agree to use the Service at your own risk.

 

Account Terms

You must be 18 years or older to use this Service.

You must be a human. Accounts registered by“bots” or other automated methods are not permitted.

You must provide your legal full name, a valid email address, and any other information requested to complete the signup process.

Your login may only be used by one person – a single login shared by multiple people is not permitted. You may create separate logins for authorized members of your organization.

You are responsible for maintaining the security of your account and password. MortarStone cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

You are responsible for all Content posted and activity that occurs under your account (even when Content is posted by others who have accounts under your account).

You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright or trademark laws).

Application Terms – Customers may access their MortarStone account data via the Application. Any use of the Application, including use of the Application through a third-party product that accesses MortarStone, is bound by these Terms of Service plus the following specific terms:

You expressly understand and agree thatMortarStone shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even ifMortarStone has been advised of the possibility of such damages), resulting from your use of the Application or third-party products that access data via the Application.

Abuse or excessively frequent requests to MortarStone via the Application may result in the temporary or permanent suspension of your account’s access to the Application. MortarStone, in its sole discretion, will determine abuse or excessive usage of the Application. MortarStone will make a reasonable attempt to warn the account owner via email before suspension.

MortarStone reserves the right at any time to modify or discontinue, temporarily or permanently, your access to the Application(or any part thereof) with or without notice.

Payment, Refunds, Upgrading and Downgrading Terms

All paid plans must enter a valid credit card or provide ACH account information.

There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. In order to treat everyone equally, no exceptions will be made.

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. If applicable, you shall be responsible for payment of all such taxes, levies, or duties.

For any upgrade or downgrade in plan level, your credit card that you provided will automatically be charged the new rate on your next billing cycle.

Cancellation and Termination

You are solely responsible for properly canceling your account. You can cancel your account at any time through theSettings menu in the application. If you have trouble locating the cancellation option, please contact support@mortarstone.com for assistance.

All of your Content will be deleted from theService upon cancellation. While backups may exist for a short period, we cannot guarantee data recovery once an account is cancelled.

If you cancel the Service before the end of your current paid-up month, your cancellation will take effect immediately, and you will not be charged again.

MortarStone, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other MortarStone service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account. MortarStone reserves the right to refuse service to anyone for any reason at any time.

 

Modifications to the Service and Prices

MortarStone reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

Prices of all Services, including but not limited to monthly subscription plan fees to the Service, are subject to change upon 30 days notice from us. Such notice may be provided by email or by posting the changes to the MortarStone Site (mortarstone.com) or the Service itself.

MortarStone shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

Copyright and Content Ownership

We claim no intellectual property rights over the material you provide to the Service. Your profile and materials uploaded remain yours.

However, by using the Service, you grant MortarStone a worldwide, non-exclusive, royalty-free license to create anonymous, aggregated statistics and benchmarks based on your data. We may display these aggregated statistics in industry reports (such as the annual state-of-giving report) and use them to improve our services. This aggregated data will not identify you or your donors. MortarStone retains ownership of these aggregated statistics and may continue to use them after your account is terminated.

You agree that you are solely responsible for your Content and any consequences resulting from sharing it with others, including but not limited to sharing via email, print, or any other method. We are not responsible for the security or privacy of your Content after you share it. By using the Service, you also agree that you are responsible for maintaining any copyright or any intellectual property claims related to your Content.

MortarStone does not pre-screen Content, but MortarStone and its designee have the right (but not the obligation) in their sole discretion to refuse or remove any Content that is available via the Service.

 

Mutual Indemnification

Each Party (the “Indemnifying Party”) agrees to defend the other Party, its affiliates and each of their respective officers, directors, employees, contractors and agents (each an “Indemnified Party”) from and against any action, claim, suit, investigation or other proceeding brought by a third party (a “Claim”) to the extent such Claim results from the Indemnifying Party’s breach of this Agreement.

 

General Conditions

Your use of the Service is at your sole risk. The service is provided on an “as is” and “as available” basis.

Technical support is provided to paying account holders and during the free trial period. Support is only available via email, in English.

You understand that MortarStone uses third-party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.

You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service, MortarStone, or any other MortarStone service.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by MortarStone.

We may, but have no obligation to, removeContent and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.

Verbal, physical, written or other abuse(including threats of abuse or retribution) of any MortarStone customer, employee, member, or officer will result in immediate account termination.

You understand that the technical processing and transmission of the Service, including your Content, are subject to the inherent risks of data transmission over the Internet. MortarStone uses commercially reasonable efforts to transmit data, including your Content, via encrypted means (such as SSL/TLS) and never purposefully transmits customer data over an unencrypted network. You acknowledge, however, that (a)transmissions over various networks may involve data traveling over connections that become unencrypted outside of MortarStone's direct control; and (b)transmissions may involve changes to conform and adapt to the technical requirements of connecting networks or devices. MortarStone cannot guarantee the security of your Content during transmission.

 If your bandwidth usage significantly exceeds the average bandwidth usage (as determined solely by MortarStone) of other MortarStone customers, we reserve the right to immediately disable your account or throttle your file hosting until you can reduce your bandwidth consumption.

MortarStone does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (v) any errors in the Service will be corrected.

You expressly understand and agree thatMortarStone shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even ifMortarStone has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the service.

The failure of MortarStone to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and MortarStone and govern your use of the Service, superseding any prior agreements between you and MortarStone (including, but not limited to, any prior versions of the Terms of Service). You agree that these Terms of Service and Your use of the Service are governed by Nevada law, without regard to its conflict of law principles, and applicable United States federal law.

Compliance with Law Enforcement

You acknowledge and agree that MortarStone may, in its sole discretion and without notice to you, access, preserve, and disclose your account information and Content if required to do so by law or ina good faith belief that such access, preservation or disclosure is reasonably necessary to: (a) comply with legal process (such as a subpoena, court order, or search warrant) or governmental requests; (b) enforce these Terms of Service; (c) respond to claims that any Content violates the rights of third parties;(d) respond to your requests for customer service; or (e) protect the rights, property, or personal safety of MortarStone, its users, or the public. We will cooperate with law enforcement and other governmental agencies, and we reserve the right to share any information concerning you or your use of the Service to the extent required by law.
